By accessing, browsing, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation. If you do not agree with these Terms, you must not use the Services.

• “Services” means our websites, mobile applications, APIs, and any related products or support we provide.
• “Content” means text, graphics, images, software, and other materials made available through the Services.
• “User Content” means any information or material you submit, upload, or transmit through the Services.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to enter into these Terms. Where an account is required, you agree to provide accurate information, keep your credentials confidential, and remain responsible for all activity under your account. Notify us promptly of any unauthorised use.

You agree not to, and not to permit others to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Infringe the intellectual property, privacy, or other rights of any party.
• Attempt to gain unauthorised access to, disrupt, or interfere with the Services or related systems.
• Introduce viruses, malware, or other malicious code.
• Reverse engineer, decompile, or scrape the Services except to the extent permitted by law.
• Use the Services to send spam or unsolicited communications.

The Services and all Content (excluding User Content) are owned by or licensed to Karido Private Limited and are protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose. All rights not expressly granted are reserved. Our trademarks, logos, and brand features may not be used without our prior written consent.

You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, and display it solely to operate and provide the Services. You are responsible for your User Content and confirm you have the necessary rights to submit it. We may remove content that violates these Terms or applicable law.

The Services may integrate or link to third-party websites, products, or services that we do not control. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and privacy policies.

Where the Services or a specific engagement are provided for a fee, the applicable pricing, billing cycle, and payment terms will be set out in an order form, quotation, or statement of work. Unless stated otherwise, fees are exclusive of taxes, are non-refundable except as required by law, and must be paid by the due date. We may suspend Services for non-payment after reasonable notice.

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, Karido Technologies and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services. Our aggregate liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months preceding the event giving rise to the claim, or, where no fees were paid, a reasonable sum. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to indemnify and hold harmless Karido Technologies and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your misuse of the Services, your User Content, or your breach of these Terms or applicable law.

We may suspend or terminate your access to the Services at any time, with or without notice, if you breach these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to any mandatory rights you have as a consumer, the courts located in Hyderabad, Telangana will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
